Agreement to Terms

By accessing or using MTY Agentic Labs ("Platform," "Service," "we," "our," or "us"), you agree to be bound by these Terms of Service. If you do not agree to these Terms, you may not access or use the Platform.

1. Platform Description

MTY Agentic Labs is a multi-tenant Software-as-a-Service (SaaS) platform that enables businesses to manage customer communications across multiple Meta platforms including:

• WhatsApp Business API — Send and receive WhatsApp messages
• Facebook Messenger — Manage Messenger conversations
• Instagram Direct Messages — Handle Instagram DMs

2. Eligibility and Account Requirements

• You must be at least 18 years old to use this Platform
• If representing a business, you must have authority to bind that entity
• You must provide accurate and complete information during registration
• You are responsible for maintaining the confidentiality of your account credentials
• You are responsible for all activities under your account

3. Meta Platform Integration

You must have valid Meta business accounts (WhatsApp Business API, Facebook Page, Instagram Business Account). You authorize us to access your Meta accounts through OAuth 2.0 and to send and receive messages on your behalf.

You agree to comply with all applicable Meta platform policies, including WhatsApp Business Policy, Facebook Platform Terms, Messenger Platform Policy, and Instagram Platform Policy.

We reserve the right to suspend or terminate accounts that violate Meta's policies.

4. Acceptable Use Policy

Permitted Use

• Send and receive customer service messages
• Manage legitimate business communications
• Automate responses within Meta's policy guidelines
• Manage multiple Meta business accounts from one dashboard

Prohibited Use

• Send unsolicited bulk messages or spam
• Transmit illegal, harmful, or fraudulent content
• Harass, threaten, or abuse users
• Attempt to hack, reverse engineer, or compromise the Platform
• Violate any Meta Platform Terms or Policies
• Circumvent Meta's messaging rate limits

5. Service Availability

The Platform is provided on an "as is" and "as available" basis. We do not guarantee uninterrupted or error-free service. Platform functionality depends on Meta's APIs and infrastructure, and we are not liable for Meta API changes, outages, or deprecations.

6. Billing and Payments

• Platform access is provided through monthly subscription plans
• Payments processed securely through Stripe
• Subscriptions are billed monthly in advance
• No refunds for partial months of service
• We reserve the right to change pricing with 30 days notice
• You may cancel your subscription anytime through platform settings

7. Intellectual Property

The Platform, including all code, designs, logos, and trademarks, is owned by Sand Palace / MTY Agentic Labs. You retain ownership of all content you transmit through the Platform. You grant us a license to store, process, display, and transmit your content solely for service delivery.

8. Privacy and Data Protection

Your privacy is important to us. Our collection, use, and protection of your data is governed by our Privacy Policy. We do NOT sell your data, do NOT use it for advertising, and encrypt all data at rest and in transit.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE LAST 12 MONTHS. We shall not be liable for indirect, consequential, incidental, or punitive damages.

We are not liable for Meta API changes, outages, or account suspensions; message delivery failures; data loss due to third-party service failures; or your violation of Meta policies or applicable laws.

10. Indemnification

You agree to indemnify and hold harmless MTY Agentic Labs, Sand Palace, and our officers, directors, employees, and agents from any claims arising from your use of the Platform, violation of these Terms, or violation of Meta policies.

11. Termination

You may terminate your account at any time. We may suspend or terminate your account if you violate these Terms, Meta policies, engage in illegal activity, or fail to pay subscription fees. Upon termination, your data will be deleted within 30 days.

12. Dispute Resolution and Governing Law

These Terms are governed by the laws of Mexico, specifically the State of Nuevo León. Disputes shall be subject to the exclusive jurisdiction of the courts of Monterrey, Nuevo León, Mexico.

Before filing a legal claim, you agree to contact us at legal@agenticlabs.site to attempt informal resolution within 30 days. You agree to resolve disputes on an individual basis and waive the right to participate in class actions.

13. Changes to Terms

We reserve the right to modify these Terms at any time. You will be notified of material changes via email at least 30 days before they take effect. Continued use of the Platform constitutes acceptance.
